TERMS & CONDITIONS OF ENGAGEMENT

1. Introduction

The Institute of Black Nobility (IoBN) provides elite Interior Design and Mechanical Engineering services combining advanced technical expertise, heritage aesthetics, and world-class project execution.
These Terms & Conditions govern all consultancy, design, engineering, installation, and project-delivery services offered by IoBN.

By engaging IoBN for any service, the client agrees to the Terms outlined below.



2. Definitions

“IoBN” / “The Institute” refers to the Institute of Black Nobility and its professional design and engineering divisions.

“Client” refers to any individual, organisation, or entity commissioning services.

“Project” refers to any interior design, engineering, installation, consultation, or build-related works undertaken by IoBN.

“Works” refers to all labour, design output, engineering tasks, drafting, material installation, and technical services.




3. Scope of Services

IoBN provides a range of high-level services, including:

Interior design (residential, commercial, institutional)

Mechanical engineering design & installation

CAD drafting & technical layout preparation

HVAC systems, ducting, mechanical plant design

Lighting, architectural detailing & heritage-inspired finishes

Design consultancy, space planning & optimisation

Project management and technical oversight

Premium materials sourcing & luxury specification

IoBN may accept or decline a project at its discretion.



4. Professional Standards

IoBN operates at elite professional levels, maintaining:

Precision engineering methodology

Luxury-grade design detailing

Integrity, transparency & professional conduct

Compliance with relevant engineering standards and safety regulations

Confidential handling of client information




5. Payment Terms

5.1. Labour Costs

50% of the labour fee is due upfront to secure the project start.

The remaining 50% of labour is due immediately upon completion of works, prior to handover or release of final design packages.

5.2. Material Costs

All material costs are due upfront in full before procurement begins.

IoBN will not place orders or commence installation until material funds are received.

5.3. Additional Charges

Additional fees may apply for:

Extra design revisions beyond scope

Emergency works

Out-of-hours labour

Travel or international project expenses

Specialist contractors (if required)

All additional services must be authorised by the client in writing.

5.4. Payment Methods

IoBN accepts:

Standard digital payment methods

Bank transfers

Bullion payments (gold/silver) where applicable

Invoice payments according to IoBN financial policy

Late payments may result in suspension of works or legal recovery action.



6. Project Timeline & Delays

6.1. Project timelines will be provided in writing after initial consultation.
6.2. IoBN is not liable for delays caused by:

Supplier shortages

Customs or import complications

Third-party contractors

Unforeseen structural conditions

Client-requested changes

Weather or environmental factors

6.3. IoBN may adjust timelines to maintain quality, safety, and design integrity.



7. Design Ownership & Intellectual Property

7.1. All design drawings, CAD files, engineering schematics, concept visuals, and technical documents remain the intellectual property of IoBN.
7.2. Designs may not be reproduced, altered, or used by third parties without written consent.
7.3. Upon full payment, the client receives usage rights for the specific project only.



8. Materials, Procurement & Installation

8.1. IoBN sources high-grade materials from trusted suppliers.
8.2. IoBN is not responsible for manufacturer defects but will assist with warranties where applicable.
8.3. Custom or bespoke items cannot be returned or refunded.
8.4. Material procurement will commence only after full upfront payment is confirmed.



9. Site Requirements & Access

9.1. Clients must provide safe, uninterrupted access to the project site.
9.2. IoBN reserves the right to suspend works if site conditions pose health, safety, or operational risks.
9.3. Clients must ensure necessary approvals (planning permission, landlord consent, engineering clearance, etc.) are secured prior to commencement.



10. Amendments & Variations

10.1. Any changes to the project scope must be submitted in writing.
10.2. Additional fees and timeline adjustments may apply for variations.
10.3. IoBN reserves the right to decline changes that compromise quality or safety.



11. Completion & Handover

11.1. A project is considered complete once final labour is concluded and deliverables prepared.
11.2. Final payment must be made immediately upon completion.
11.3. IoBN will not release final drawings, certificate of completion, or installed systems until payment is received.



12. Warranty & Aftercare

12.1. Workmanship warranty duration will be defined per project.
12.2. Warranty excludes:

Wear and tear

Misuse

Third-party alterations

Environmental damage

12.3. Aftercare services or maintenance packages may be offered for an additional fee.



13. Liability & Insurance

13.1. IoBN maintains appropriate professional indemnity and public liability insurance.
13.2. IoBN is not responsible for:

Pre-existing structural defects

Client-supplied materials

Third-party contractor errors

Losses arising from delays outside our control

13.3. IoBN’s liability is limited to the fees paid for the specific project.



14. Termination of Services

IoBN may terminate the engagement if:

Payments are delayed or withheld

Clients behave abusively, unlawfully, or obstructively

Site conditions become unsafe

Project expectations fall outside the agreed scope

Any unpaid invoices become immediately due upon termination.



15. Confidentiality

All designs, client details, and project information will be kept confidential.
IoBN may use project imagery for portfolio purposes only with client permission.



16. Governing Framework & Jurisdiction

16.1. All engagements are governed by IoBN’s internal professional statutes.
16.2. Where external law applies, IoBN complies without compromising institutional sovereignty.
16.3. Disputes will be handled through IoBN’s internal resolution process before any external steps may be taken.



17. Acceptance of Terms

Commissioning IoBN services signifies full acceptance of these Terms & Conditions.
